Welcome to mPro Digital Edge
mPro Digital Edge is a purpose-built AI workspace for multifamily property management professionals, operated by Sales and Marketing Magic for Apartment Managers, Inc. (referred to as "mPro," "we," or "us"). The platform provides AI-powered tools, chat assistants, Smart Writer templates, intelligence suites, and related features designed to help multifamily teams complete work and develop professional skills at the same time.
The platform operates under a workspace model. A Company deploys a workspace. The Company's authorized personnel (Workspace Users) access the workspace under the Company's administrative control. These Terms describe the relationship between mPro Digital Edge, the Company, and Workspace Users.
Acceptance of Terms
By accessing or using an mPro Digital Edge workspace, the Company and each Workspace User agree to these Terms and to the mPro Digital Edge Privacy Policy. If the Company or a Workspace User does not agree, access to the workspace must be discontinued.
Where a Company has entered into a separate master services agreement, licensing agreement, or workspace deployment agreement with mPro Digital Edge, the terms of that agreement control in the event of any conflict with these Terms.
Workspace Structure and Accounts
Each mPro Digital Edge deployment is organized as a Company workspace with the following roles:
- Company Administrator. One or more individuals designated by the Company to manage workspace configuration, user access, branding, tool availability, and data controls.
- Workspace User. An individual authorized by the Company Administrator to access the workspace, typically an employee, contractor, or agent of the Company performing work within the multifamily property management context.
The Company is responsible for:
- Ensuring that all Workspace Users are aware of and agree to these Terms
- Provisioning and deactivating Workspace User access as personnel changes occur
- Maintaining accurate account information
- Safeguarding workspace credentials and access tokens
- Promptly notifying mPro Digital Edge of any suspected unauthorized access
Workspace Users must be at least 18 years old and must use the platform only for legitimate business purposes on behalf of the Company.
Authorized Use
The mPro Digital Edge platform is licensed to the Company for use within its authorized workspace and is intended for the multifamily property management industry. Authorized use includes, but is not limited to:
- Generating marketing, leasing, and resident communication content
- Analyzing property performance, demographics, and competitive positioning
- Training and upskilling leasing professionals, marketing staff, and management personnel
- Creating operational documents, reports, and internal communications
- Using AI-powered tools across video, image, voice, text, and SEO categories
The platform may not be used for consumer purposes, for industries outside multifamily property management without written permission, or in ways that violate these Terms or applicable law.
Content Ownership
All content, documents, prompts, templates, outputs, resident information, property data, and business information entered or created within a Company workspace belong to the Company.
The Company grants mPro Digital Edge a limited, non-exclusive license to process Company content solely for the purpose of operating the platform, delivering AI outputs, and providing support. This license terminates when the workspace is deactivated and workspace content is deleted as described in the Privacy Policy.
AI-Generated Content
The platform generates content using large language models, image models, voice synthesis models, and other AI systems operated by third-party providers. AI-generated content is produced by statistical processes and may contain inaccuracies, outdated information, or content that does not reflect the Company's actual circumstances.
- Review Before Use. All AI-generated content must be reviewed by a qualified Workspace User before being used in resident-facing communications, legal documents, financial analyses, or compliance-sensitive contexts.
- No Professional Advice. AI-generated content does not constitute legal, financial, tax, medical, or other professional advice. Professional consultation should be obtained where appropriate.
- Attribution and Disclosure. The Company is responsible for any attribution or disclosure requirements that apply to AI-generated content under applicable law or industry rules.
Fair Housing Compliance Obligations
The Company acknowledges that multifamily property management is subject to federal, state, and local Fair Housing laws, including the Fair Housing Act, the Americans with Disabilities Act, and state and municipal housing regulations. The Company acknowledges HUD guidance concerning the use of artificial intelligence in housing, including the May 2024 guidance from the U.S. Department of Housing and Urban Development.
The platform incorporates a Fair Housing Guardrails Framework designed to flag potentially non-compliant language in Chat Assistants and content generation tools. The guardrails are a compliance aid, not a substitute for:
- Trained human review of resident-facing communications
- Legal counsel on compliance matters
- The Company's own Fair Housing policies and training programs
- Regular compliance audits
Prohibited Conduct
Workspace Users and the Company agree not to:
- Use the platform in violation of any law, regulation, or third-party right
- Generate content that is discriminatory, harassing, defamatory, or otherwise unlawful
- Generate content that violates Fair Housing laws or the Company's non-discrimination obligations
- Circumvent, disable, or interfere with platform security features or Fair Housing guardrails
- Attempt to access data, workspaces, or tools outside the Company's authorized workspace
- Reverse engineer, decompile, or attempt to extract the source code or proprietary algorithms of the platform
- Use the platform to train competing artificial intelligence systems or to extract model weights or training data
- Upload malicious code, viruses, or content that could damage the platform or other users' systems
- Resell, sublicense, or provide platform access to unauthorized third parties
- Impersonate another person, entity, or Workspace User
- Collect or scrape data from the platform through automated means
Intellectual Property
The mPro Digital Edge platform, including its tools, Chat Assistants, Smart Writer templates, intelligence suites, workflows, training content, user interface, documentation, and underlying software, is owned by Sales and Marketing Magic for Apartment Managers, Inc. and protected by copyright, trademark, trade secret, and other intellectual property laws.
The Company may not copy, modify, distribute, publish, license, sell, or otherwise exploit any part of the platform or platform content except as expressly authorized by these Terms or a separate written agreement with mPro Digital Edge.
Feedback, suggestions, and improvement ideas submitted to mPro Digital Edge may be incorporated into the platform without obligation or compensation to the submitting party.
Service Availability
mPro Digital Edge uses commercially reasonable efforts to keep the platform operational. The platform is hosted on Microsoft Azure infrastructure and relies on third-party AI providers to deliver certain features.
Planned maintenance, third-party outages, force majeure events, or other circumstances may result in temporary unavailability. mPro Digital Edge does not guarantee uninterrupted access and is not responsible for third-party service disruptions beyond its reasonable control.
Where a separate service level agreement is in place between the Company and mPro Digital Edge, the terms of that agreement govern availability commitments.
Termination
mPro Digital Edge may suspend or terminate access to a Company workspace or to individual Workspace Users for any of the following reasons:
- Violation of these Terms or the Privacy Policy
- Violation of Fair Housing or other applicable laws
- Non-payment of fees where payment is required
- Activity that poses a security or legal risk to the platform or its users
- Extended inactivity
The Company may deactivate its workspace at any time. Upon deactivation, workspace content will be handled in accordance with the data retention and deletion provisions described in the Privacy Policy.
Provisions that by their nature should survive termination, including intellectual property rights, disclaimers, limitations of liability, and indemnification, will survive termination of these Terms.
Disclaimer of Warranties
To the maximum extent permitted by law, mPro Digital Edge disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.
AI-generated content is inherently probabilistic and may contain errors. mPro Digital Edge does not warrant that platform outputs are accurate, complete, current, reliable, or suitable for any particular purpose. The Company and its Workspace Users are responsible for reviewing and verifying all outputs before use.
Limitation of Liability
To the maximum extent permitted by law, mPro Digital Edge and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of the platform, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill, whether based on contract, tort, strict liability, or any other legal theory, and whether or not mPro Digital Edge has been advised of the possibility of such damages.
In no event will the aggregate liability of mPro Digital Edge exceed the amount paid by the Company to mPro Digital Edge during the 12 months preceding the event giving rise to the claim, or one thousand United States dollars ($1,000), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above will apply to the fullest extent permitted.
Indemnification
The Company agrees to indemnify, defend, and hold harmless mPro Digital Edge and its officers, directors, employees, contractors, and affiliates from any claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to:
- The Company's or a Workspace User's use of the platform
- The Company's violation of these Terms or applicable law
- The Company's violation of Fair Housing or non-discrimination obligations
- Content created, generated, published, or acted upon through the platform
- Any dispute between the Company and a resident, prospective resident, employee, or third party
Changes to These Terms
These Terms may be updated periodically to reflect changes in platform features, legal requirements, or operational practices. Material changes will be communicated to Company Administrators, and the "Last updated" date at the top of these Terms will be revised accordingly.
Continued use of the workspace following notice of revised Terms constitutes acceptance of the updated Terms.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the platform will be resolved in the state or federal courts located in Florida, and the Company and Workspace Users consent to the personal jurisdiction of those courts.
Where a separate master services agreement, licensing agreement, or workspace deployment agreement specifies a different governing law or dispute resolution process, that agreement controls.
